1. Introduction

Welcome to VUTI.

VUTI is owned and operated by Aiden Erol under the VUTI name ("VUTI," "we," "us," or "our").

These Terms and Conditions ("Terms") govern your access to and use of the VUTI mobile application, the website located at playvuti.com, and any related services, games, events, features, or communications offered through VUTI (collectively, the "Services").

By creating an account, submitting a verification application, reserving a game, making a payment, or otherwise using the Services, you acknowledge that you have read and agree to these Terms. You may not use the Services if you do not agree to these Terms.

2. Eligibility and Age Requirement

You must be at least 18 years old to create a VUTI account, submit a player-verification application, reserve a spot in a game, make a payment through VUTI, or participate in a game arranged through VUTI.

By creating an account or participating in a game, you represent that you are at least 18 years old and legally capable of entering into these Terms.

VUTI may request additional information reasonably necessary to verify your age or identity. VUTI may suspend or terminate an account if it reasonably believes the user is under 18 or supplied false information.

3. VUTI's Role

VUTI provides a platform through which eligible users may discover and reserve spots in competitive pickup soccer games. VUTI may coordinate games, provide game details, collect reservation payments, review player qualifications, establish roster limits, designate goalkeeper positions, and manage game-related communications.

• VUTI does not guarantee that a particular game will occur.
• VUTI does not guarantee that a game will reach a specific number of players.
• VUTI does not guarantee that every participant will have an identical level of ability.
• VUTI does not guarantee equal playing time, a particular result, or a particular experience.
• VUTI does not guarantee the conduct of every participant.
• VUTI does not guarantee the condition or availability of a third-party venue.
• VUTI does not guarantee that a game will be free from delay, interruption, injury, conflict, or cancellation.

4. User Accounts

You must create an account to access certain VUTI features. You agree to provide accurate, complete, and current information.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Contact VUTI promptly at playvuti@gmail.com if you believe your account has been accessed without authorization.

• You may not impersonate another person.
• You may not create an account using false information.
• You may not share your account with another person.
• You may not allow another person to reserve or participate under your identity.
• You may not create additional accounts to evade a suspension, restriction, or ban.
• You may not interfere with VUTI's account, payment, verification, or reservation systems.

5. Player Verification

VUTI is intended to facilitate competitive pickup soccer among players who satisfy VUTI's current participation standards.

VUTI may ask for your full name, current or most recent team, club, school, or organization, highest level played, and links, references, coach information, or other materials that may help verify your playing background.

Submitting an application does not guarantee approval. VUTI may approve, reject, request additional information about, or reconsider an application in its discretion.

A verification label or title represents VUTI's good-faith assessment based on the information available at the time. It is not a professional certification, guarantee of ability, or promise regarding a player's current fitness, conduct, or performance.

You may not submit false, misleading, altered, or unauthorized verification materials. VUTI may revoke or modify verification if information is inaccurate, outdated, misleading, or inconsistent with a user's conduct or demonstrated level of play.

6. Game Reservations

A reservation is confirmed only when the required payment is successfully processed, VUTI's system records the reservation as active or confirmed, and the user satisfies any applicable eligibility or verification requirements.

Game capacity, roster size, format, position availability, kickoff time, and venue information may change when reasonably necessary.

VUTI may cancel, modify, or reject a reservation created through an error, duplicate transaction, suspected fraud, policy violation, payment failure, or system malfunction.

• You may not reserve a spot for someone else without VUTI's approval.
• You may not transfer or resell a reservation.
• You may not use another user's reservation.
• You may not reserve multiple conflicting spots.
• You may not manipulate roster availability.
• You may not reserve a position you do not intend to play.

7. Goalkeeper Reservations and Discounts

An official goalkeeper reservation is currently priced at 50% of the standard outfield-player price for the same game unless a different price is clearly displayed before payment.

A goalkeeper discount applies only to a user who reserves an officially designated goalkeeper spot and genuinely intends to play goalkeeper for the applicable game.

A user who reserves a discounted goalkeeper spot may be expected to play goalkeeper for all or a substantial portion of the game, depending on the game format.

Users may not reserve goalkeeper spots solely to obtain a lower price while intending to play primarily as an outfield player.

VUTI may cancel the reservation, revoke the discount, restrict future goalkeeper reservations, charge the standard price where authorized, suspend the account, or take other reasonable action in response to misuse.

Goalkeeper pricing and eligibility may be changed prospectively. Any applicable price will be shown before the user completes payment.

8. Prices and Payments

Game prices are displayed before purchase. Payments are processed through Stripe or another payment provider identified at checkout. VUTI does not directly store complete payment-card numbers or card-security codes.

You authorize VUTI and its payment provider to charge the amount displayed for the selected reservation.

• You are responsible for ensuring your payment information is accurate.
• You are responsible for ensuring you are authorized to use the payment method.
• You are responsible for ensuring sufficient funds or credit are available.
• You are responsible for reviewing the game, price, role, time, and location before completing payment.
• Taxes or other charges may be added when required by law and will be disclosed where applicable.

9. Cancellations and Refunds

VUTI's Refund and Cancellation Policy is incorporated into these Terms.

Unless a different rule is clearly presented before purchase, cancellations made at least 48 hours before scheduled kickoff are eligible for a full refund. Cancellations made less than 48 hours before kickoff are normally nonrefundable. No-shows are nonrefundable.

VUTI may grant a late-cancellation exception in its discretion for emergencies, duplicate charges, technical problems, or unusual circumstances.

If VUTI cancels a game, including because of weather, venue unavailability, unsafe conditions, or another operational issue, affected users will receive a full refund.

If a payment succeeds but a reservation is not properly created, VUTI will correct the reservation or issue a full refund.

Removal for misconduct or violation of these Terms does not guarantee a refund.

VUTI does not deduct Stripe processing fees from a refund that VUTI approves as a full refund. Approved refunds are issued to the original payment method, and posting time depends on Stripe, the user's bank, and the card network.

10. Games That Do Not Fill

If a game does not reach its intended number of participants, VUTI may proceed with fewer players, use a smaller-sided or modified format, adjust teams or game structure, reschedule the game, or cancel the game and issue full refunds.

If VUTI materially changes the scheduled date or location, affected users may contact VUTI regarding available options.

11. Player Conduct

Users must behave respectfully and safely.

• Threats, harassment, discrimination, or targeted abuse are prohibited.
• Fighting or intentionally violent conduct is prohibited.
• Dangerous or reckless play and deliberate attempts to injure another person are prohibited.
• Use of slurs or severely abusive language is prohibited.
• Theft, property damage, fraud, and payment abuse are prohibited.
• Repeated no-shows, reservation misuse, and knowingly misrepresenting playing experience are prohibited.
• Playing while impaired by alcohol or drugs is prohibited.
• Refusing reasonable venue or organizer instructions is prohibited.
• Bringing weapons or illegal substances is prohibited.
• Unauthorized commercial solicitation is prohibited.
• Conduct that threatens the safety, integrity, or operation of a game is prohibited.
• VUTI may warn, remove, suspend, restrict, or permanently ban a user based on conduct occurring through the app, at a game, at a venue, or in communications connected to VUTI.

12. Physical Activity and Assumption of Risk

Soccer is a strenuous physical activity involving inherent and potentially serious risks.

By participating, you knowingly and voluntarily accept the risks ordinarily associated with soccer and athletic activity.

You are responsible for determining whether you are physically and medically able to participate. VUTI does not provide medical advice or guarantee the presence of medical personnel.

You should not participate if you have an injury, illness, medical restriction, or other condition that makes participation unsafe.

Additional assumption-of-risk and participation language appears in the separate 18+ Participation and Assumption-of-Risk Policy and is incorporated into these Terms.

• Risks may include collisions with players, goals, walls, fences, equipment, or surfaces.
• Risks may include falls, slips, tackles, kicks, and contact.
• Risks may include muscle strains, sprains, fractures, concussions, and other injuries.
• Risks may include dehydration, heat illness, cardiac events, or other medical emergencies.
• Risks may include unsafe or changing weather.
• Risks may include defects or conditions at third-party venues.
• Risks may include actions or negligence of other participants.
• Risks may include serious injury, permanent disability, or death.

13. Venues and Third Parties

Games may take place at facilities owned or operated by third parties. You must comply with applicable venue rules, including rules relating to footwear, equipment, conduct, parking, arrival times, prohibited items, and facility access.

VUTI is not responsible for independent acts, omissions, policies, closures, or conditions of venue owners, payment providers, internet providers, device manufacturers, or other third parties, except to the extent liability cannot legally be excluded.

Links or references to third-party services do not constitute an endorsement or guarantee.

14. Game Information and Locations

VUTI may display the scheduled venue, field, address, date, time, format, price, and other game information.

Game-location information refers to the location of a scheduled game. VUTI does not currently request or track users' precise real-time GPS location through the app.

Users are responsible for confirming game information before traveling.

15. Account Suspension and Termination

VUTI may limit, suspend, or terminate access when it reasonably believes that a user violated these Terms, supplied false information, misused verification or reservations, created a safety risk, engaged in payment fraud or abusive disputes, repeatedly failed to attend reserved games, misused goalkeeper discounts, disrupted operations, violated law, or acted in a way that could harm VUTI, a venue, or another person.

Where practical, VUTI may provide notice or an opportunity to respond. Immediate action may be taken when reasonably necessary for safety, fraud prevention, or protection of the Services.

Termination does not erase payment obligations or provisions intended to survive termination.

16. Account Deletion

Users may request account deletion through the in-app Delete Account feature or by contacting playvuti@gmail.com.

VUTI aims to complete verified deletion requests within 30 days.

Deletion may be delayed where reasonably necessary to complete an outstanding refund, resolve a chargeback or payment dispute, investigate fraud or safety issues, comply with a legal obligation, or preserve evidence relating to a dispute.

VUTI may retain limited records where reasonably necessary for accounting, taxes, fraud prevention, chargebacks, safety, dispute resolution, or legal compliance.

The Account Deletion Policy is incorporated into these Terms.

17. Intellectual Property

The VUTI name, logos, designs, software, interface, text, graphics, organization, and original content are owned by VUTI or used with permission and are protected by applicable intellectual-property laws.

These Terms provide you with a limited, personal, revocable, nonexclusive, nontransferable right to use the Services for their intended purpose.

• You may not copy or commercially exploit the Services.
• You may not reverse engineer or attempt to extract source code except where law expressly permits.
• You may not remove ownership notices.
• You may not create a competing database using VUTI information.
• You may not scrape or harvest user or game data.
• You may not use VUTI branding without permission.
• You may not falsely suggest an affiliation with VUTI.

18. Feedback

If you provide suggestions, ideas, or feedback, you grant VUTI permission to use that feedback without compensation or restriction, provided VUTI does not publicly identify you without permission.

19. Privacy

VUTI's collection and handling of personal information are described in the VUTI Privacy Policy, which is incorporated into these Terms.

20. Service Availability and Changes

VUTI may modify, suspend, discontinue, test, or replace any part of the Services.

VUTI does not guarantee uninterrupted or error-free operation. Maintenance, third-party outages, device compatibility, software defects, internet failures, and events outside VUTI's control may affect availability.

VUTI may correct errors in game information, pricing, reservations, rosters, verification labels, or other content.

21. Disclaimers

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.

VUTI does not make warranties regarding uninterrupted access, error-free operation, the conduct or ability of participants, the safety or suitability of every venue, the accuracy of information supplied by users, game quality or outcome, or freedom from injury, loss, delay, or disruption.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

22. Limitation of Liability

To the fullest extent permitted by law, VUTI and its owner, personnel, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Services or participation in a game.

To the fullest extent permitted by law, VUTI's total liability arising from a particular paid reservation will not exceed the amount the user paid to VUTI for that reservation.

These limitations do not apply where liability cannot legally be limited, including where applicable law prohibits limitation for certain intentional acts, gross negligence, or personal injury claims.

23. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless VUTI and its owner, personnel, contractors, and representatives from third-party claims, damages, losses, liabilities, and reasonable expenses arising from your violation of these Terms, false information supplied by you, your unlawful or intentional misconduct, your misuse of another person's account, payment method, or information, or damage or injury caused by your conduct.

This section does not require indemnification for losses caused solely by conduct for which VUTI cannot legally disclaim responsibility.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

Subject to applicable consumer-protection laws, disputes that are not resolved informally will be brought in the appropriate state or federal courts located in Fort Bend County, Texas, and the parties consent to those courts' jurisdiction.

Before filing a claim, users are encouraged to contact playvuti@gmail.com so the parties can attempt to resolve the matter informally.

25. Changes to These Terms

VUTI may update these Terms as the Services change.

The updated Terms will display a revised effective date. When required or appropriate, VUTI may provide notice through the app, website, or email.

Continued use after updated Terms become effective constitutes acceptance, except where applicable law requires additional consent.

26. Severability and Waiver

If any provision is found unenforceable, the remaining provisions will remain in effect to the extent legally possible.

A failure to enforce a provision does not waive VUTI's right to enforce it later.

27. Entire Agreement

These Terms, the Privacy Policy, Refund and Cancellation Policy, Account Deletion Policy, and any additional rules clearly presented for a particular game constitute the agreement between you and VUTI regarding the Services.
